These Terms & Conditions govern your use of the Ethan Multiservices website, services and SmartCRM Universal. Please read them carefully.
These Terms & Conditions ("Terms") are an agreement between you and Ethan Multiservices LLC ("Ethan Multiservices," "we," "us" or "our"). By accessing or using our website, services or SmartCRM Universal, you agree to these Terms. If you use the services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the services.
You must be at least 18 years old and able to form a binding contract to use our services. The services are intended for business and organizational use.
Ethan Multiservices provides technology consulting, CRM implementation, artificial intelligence solutions, automation and digital marketing services. The specific scope, deliverables and pricing of any project or service will be described in a proposal, order, invoice or other agreement.
SmartCRM Universal is our CRM platform for businesses, churches and ministries. Features available to you depend on your subscription plan. We may add, change or remove features over time.
You agree to provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials, for all activity under your account and for managing the users you authorize. Notify us promptly of any unauthorized access.
You are responsible for your use of the services, for the users you authorize, for the information you submit and for complying with all laws that apply to you, including privacy, consumer protection and communications laws.
You must not use Ethan Multiservices services or SmartCRM Universal to:
You retain your rights in the data and content you submit to SmartCRM Universal ("Customer Data"). You grant Ethan Multiservices the limited rights necessary to host, process, transmit, back up, display and otherwise handle Customer Data solely as necessary to operate, secure, maintain, improve and provide the services, subject to our Privacy Policy and applicable agreements.
You are responsible for the legality, accuracy, quality and appropriate collection of Customer Data, including obtaining any required notices, permissions and consents.
Our collection and use of personal information is described in our Privacy Policy, which is part of these Terms.
AI and automated functionality may assist users with content, workflows, analysis, recommendations, automation and other functions. AI-generated or automated results may be incomplete, inaccurate or inappropriate for a particular purpose. You remain responsible for reviewing outputs and for decisions or actions taken based on them. AI output is not professional legal, medical, financial or other regulated professional advice.
If you use email or SMS features, you are responsible for obtaining the necessary consents from recipients, honoring opt-out requests and complying with applicable laws governing electronic and text message communications. Third-party messaging providers may impose additional requirements.
SmartCRM Universal may be offered through monthly subscription plans. Applicable pricing and included features will be presented to you before purchase. Subscriptions renew automatically each billing period until canceled.
Payments may be processed using Stripe or another authorized payment processor. When you purchase a recurring subscription, you authorize us and our payment processor to charge your payment method for the applicable recurring fees until you cancel. Payment processing may be subject to Stripe's applicable terms and privacy practices. You agree to keep your payment information current. We may suspend services for unpaid amounts.
You may cancel your monthly subscription at any time. Unless otherwise stated at the time of purchase, cancellation prevents future recurring charges, and your access may continue through the end of the already-paid billing period.
Fees already paid are generally non-refundable, except when required by applicable law or when Ethan Multiservices expressly states otherwise. We do not provide automatic prorated refunds for partial billing periods.
Fees do not include taxes unless stated. You are responsible for any applicable sales, use or similar taxes, other than taxes on our income.
The services may interoperate with third-party services, such as payment processors, email and SMS providers, calendars, AI providers and automation tools. Your use of third-party services is governed by their terms, and we are not responsible for third-party services or their availability.
Ethan Multiservices LLC owns all rights in the Ethan Multiservices brand, SmartCRM Universal, our software, website design, interfaces, workflows, documentation, original content, graphics, logos, technology and other proprietary materials, except for materials owned by customers or third parties. You receive only the limited rights necessary to use the services according to your applicable subscription or agreement. You may not copy, modify, distribute, reverse engineer or create derivative works from our materials except as permitted by law.
If you provide suggestions or feedback, we may use them without obligation to you.
Where applicable, each party agrees to protect non-public information received from the other party that is marked or reasonably understood as confidential, and to use it only as needed to perform under these Terms or a related agreement.
We work to keep the services available, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and may modify, update or discontinue features or services.
We may suspend or terminate your access if you violate these Terms, fail to pay fees, create risk for us or others, or if required by law. You may stop using the services at any time. Upon termination, your right to use the services ends. Sections that by their nature should survive termination will survive.
To the fullest extent permitted by law, the services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee specific business, marketing or financial results.
To the fullest extent permitted by law, Ethan Multiservices will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the services will not exceed the amounts you paid us for the services in the twelve (12) months before the event giving rise to the claim.
You agree to defend, indemnify and hold harmless Ethan Multiservices LLC and its owners, employees and agents from claims, damages and expenses, including reasonable attorneys' fees, arising from your use of the services, your Customer Data, your communications or your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles, subject to any mandatory rights that applicable law provides.
Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally for at least 30 days. If the dispute is not resolved, it may be brought in a court of competent jurisdiction, consistent with the governing law above.
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date and, where appropriate, provide additional notice. Your continued use of the services after changes take effect means you accept the updated Terms.
You agree that we may communicate with you electronically, including by email and through the services, and that electronic communications satisfy any legal requirement that communications be in writing.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
These Terms, together with our Privacy Policy and any order, proposal or agreement you enter into with us, form the entire agreement between you and Ethan Multiservices regarding the services. If there is a conflict, the specific signed agreement or order controls.
